Terms of Service

These Terms of Service (the "Terms") are an agreement between edMAJIC LLC, a California limited liability company ("edMAJIC," "we," "us"), and the school, charter management organization, or other entity identified at checkout or on an order form ("Customer," "you"). You accept these Terms by checking the acceptance box at checkout or by signing an order form that references them. The person accepting represents that they are authorized to bind the Customer organization.

1. The service

Sightline is a web-based analytics platform that helps California charter schools understand and act on California School Dashboard and related state education data, and plan against it. A subscription covers the school site or sites identified at purchase.

An unlimited number of Authorized Users may access the service on behalf of the licensed schools. "Authorized Users" are employees, officers, board members, and contractors of Customer (including central-office personnel of a licensing network) who are authorized by Customer to use Sightline in support of the licensed schools. Authorized Users may not include personnel of unrelated organizations. Individual login credentials may not be shared, and Customer will deactivate accounts promptly when a person's authorization ends.

2. Subscription term and renewal

Each subscription is an annual commitment. The initial term is twelve (12) months, beginning on the start date stated in the applicable order form or checkout confirmation, or, if none is stated, when the subscription is activated.

At the end of each term, the subscription automatically renews for an additional twelve (12) month term unless cancelled as described in Section 5. At least 30 days before each renewal, edMAJIC will email the billing contact with the renewal date, renewal price, payment schedule, and instructions for preventing renewal. Unless otherwise stated on an order form, renewal is at edMAJIC's then-current fees; any price increase will be communicated at least 30 days before renewal and applies only to the renewal term.

3. Fees, payment, and taxes

Fees are as stated at checkout or on your order form. Payment is processed by Stripe and may be made by bank transfer (ACH) or card. For monthly payment schedules, you authorize us to charge your payment method on file automatically each month, including at renewal.

Fees do not include taxes. Where sales, use, or similar taxes apply to the service, they will be added to your invoice and are your responsibility, unless you provide documentation of a valid exemption.

Advisory or consulting services, if purchased, are separate from the platform subscription and are stated as a separate line item with their own scope and fees.

4. Volume pricing

Per-school discounts for multi-school purchases are as published on our pricing page or stated on your order form at the time of purchase, and apply to the number of schools licensed under a single subscription.

5. Cancellation and refunds

The billing contact or another authorized representative of Customer may cancel renewal by emailing info@edmajic.com before the renewal date. Cancellation takes effect at the end of the then-current annual term. Access continues, and any remaining monthly installments for the current term remain due, through the end of the term.

Except as expressly stated in these Terms (Sections 12 and 17), fees are non-refundable and we do not provide prorated refunds for partial terms.

6. Failed payments

If a payment fails, we will retry the charge and notify the billing contact. If payment is not resolved within a reasonable period after notice, we may suspend access until the account is current. Suspension does not relieve Customer of amounts owed for the term.

7. Customer Data

"Customer Data" means information submitted to Sightline by Customer or its Authorized Users, such as goals, targets, projections, assumptions, planning scenarios, comments and notes, settings, uploaded values, and school logos. Customer Data does not include the publicly available state education data preloaded into the platform.

Customer retains all ownership rights in Customer Data. Customer grants edMAJIC a limited, nonexclusive license to host, process, reproduce, and display Customer Data solely as necessary to provide, secure, maintain, and support the service.

Customer Data that is not publicly available will be treated as Customer's confidential information. edMAJIC will not disclose it except to personnel and contracted service providers who need access to provide the service, as required by law, or with Customer's authorization. edMAJIC will not sell Customer Data, use it for advertising, or use nonpublic Customer Data to train a general-purpose artificial intelligence model.

8. No student-level data

Sightline is designed for use by adult school personnel with aggregate data. Customer will not submit to Sightline any student names, student identifiers, rosters, individual assessment results, pupil records, or other information that identifies or is reasonably capable of identifying an individual student, including unsuppressed small-group information that could reasonably be used to identify a student. Sightline is not designed or authorized to receive such information. Customer will notify edMAJIC promptly if it learns that prohibited information has been submitted, and edMAJIC may delete such information.

Any proposed use of Sightline involving pupil records or student-level data requires edMAJIC's separate written approval and appropriate contractual and security terms, and may not be supported.

9. Acceptable use

Customer and its Authorized Users will not: share access with organizations outside the subscription; resell or sublicense the service; copy, scrape, or systematically extract the platform's compiled datasets for use in a competing product; attempt to probe or disrupt the service; submit information they do not have the right to provide; or use the service in violation of law.

10. Data sources, automated recommendations, and no guarantee of outcomes

The education data preloaded into Sightline comes from publicly available, aggregate state sources, including the California Department of Education. We work to present this data accurately and to update it as the state releases new files, but we do not control the underlying data and do not warrant that it is free of errors introduced at the source.

Sightline may provide automated recommendations, projections, and indicators based on Customer Data, public education data, and predefined analytical rules. These outputs, and all of Sightline's analyses and renewal-track indicators, are informational tools. They are not legal advice, are not official determinations by any authorizer or state agency, may not account for all circumstances relevant to Customer's decisions, and are not a guarantee of any charter renewal or accountability outcome. Customer is responsible for decisions made using the service.

11. Security and incidents

edMAJIC maintains reasonable administrative, technical, and physical safeguards for the service, as described in our Privacy Policy and Data Handling statement. If edMAJIC confirms a security incident resulting in unauthorized access to Customer Data, edMAJIC will investigate and contain the incident, notify Customer without unreasonable delay, reasonably cooperate with Customer, and make any notifications required by law.

12. Service operation and changes

We may perform planned maintenance (with notice where practicable) and emergency maintenance, and the service may be briefly interrupted. We improve and modify the service over time and may offer beta or preview features, and we do not promise that every feature will remain unchanged. However, edMAJIC will not materially reduce the core functionality of the paid service during the then-current term. If edMAJIC permanently discontinues Sightline during a paid term, Customer will receive a prorated refund for the unused portion of prepaid fees.

13. Suspension

edMAJIC may suspend access, with notice where reasonably practicable, when reasonably necessary to protect the security of the platform, prevent unlawful activity, prevent exposure of student-level data, address credential sharing or material overuse, address nonpayment after notice under Section 6, or comply with law. Suspension will be lifted once the issue is resolved.

14. Intellectual property

edMAJIC owns the Sightline software, user interface, documentation, methodologies, calculations, original analyses, and the original selection, coordination, arrangement, and presentation of data within the platform. edMAJIC does not claim ownership of underlying public state education data or of Customer Data.

Customer may use, reproduce, modify, and share reports, charts, and presentations generated through Sightline for its educational, governance, compliance, funding, and charter-renewal purposes.

15. Confidentiality

Each party will protect the other's nonpublic information received in connection with the service (including Customer Data under Section 7 and edMAJIC's nonpublic product and pricing information) with reasonable care, and will use it only in connection with this agreement. These obligations do not apply to information that is or becomes public without breach, was known before disclosure, is independently developed, is lawfully received from another source, or must be disclosed by law (with notice to the other party where legally permitted).

16. Privacy

Our Privacy Policy and Data Handling statement describes what we collect, how it is handled, and the service providers involved. It is part of these Terms.

17. Termination for breach

Either party may terminate this agreement if the other party materially breaches it and does not cure the breach within thirty (30) days of written notice. If we terminate for your uncured breach, fees for the current term remain due. If you terminate for our uncured breach, we will refund the prorated portion of prepaid fees for the remainder of the term.

18. Disclaimer of warranties

The service is provided "as is" and "as available." To the fullest extent permitted by law, edMAJIC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

19. Limitation of liability

To the fullest extent permitted by law, edMAJIC's total liability arising out of or related to these Terms or the service will not exceed the fees paid to edMAJIC for the service in the twelve (12) months before the event giving rise to the claim. edMAJIC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, even if advised of the possibility.

20. Customer responsibility for prohibited submissions

Customer will defend and indemnify edMAJIC against third-party claims, and resulting damages and reasonable costs, to the extent arising from: (a) student-level or pupil-record information submitted to Sightline in violation of Section 8; (b) information Customer submitted without the right to provide it; or (c) Customer's unlawful use of the service. edMAJIC will promptly notify Customer of any such claim and reasonably cooperate at Customer's expense.

21. Changes to these Terms

We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be communicated to the billing contact, and changes apply at your next renewal unless you agree to them sooner.

22. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and the parties consent to jurisdiction and venue there.

23. General

Notices. Legal notices to edMAJIC go to info@edmajic.com; notices to Customer go to the billing contact's email on file. Email notice is effective when sent.

Assignment. Neither party may assign this agreement without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.

Relationship. The parties are independent contractors. There are no third-party beneficiaries to this agreement.

Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.

Survival. Sections addressing payment obligations, Customer Data, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, and governing law survive termination.

Electronic acceptance. Electronic acceptance and electronic signatures are valid and binding.

Entire agreement. These Terms, together with your checkout selections or signed order form and the Privacy Policy and Data Handling statement, are the entire agreement regarding the service and supersede prior discussions. If a signed order form conflicts with these Terms, the order form controls for that purchase.
